*Every Resy Counts Buyout Offer Terms

Offer is available at the select restaurants (each, a “Restaurant”) and on the date(s) (each, a “Date”) announced by Resy Network, Inc. (“Resy”), a subsidiary of American Express Travel Related Services Company, Inc. (“American Express”), which can be found here no sooner than seventy two (72) hours prior to the Date. Reservations at the Restaurant for the Date are on a first come, first served basis based on a Restaurant’s capacity. Not every individual who wishes to participate will have the opportunity to do so. The offer will be made available in March 2022 each time Resy reaches the following number of completed reservations: 2 million, 3 million, 4 million, 5 million and 6 million. This offer will end if/once 6 million completed reservations are made through Resy in March 2022.

Eligibility: This offer is not intended for individuals who are employed by any local, state or federal government office or agency, elected officials and individuals listed on the OFAC Specially Designated Nationals and Blocked Persons (SDN) List or for employees, officers, directors and agents of Resy, American Express, and their respective parent, subsidiary and affiliate companies, and advertising and promotion agencies, or the immediate family (spouse, parents, siblings and children and their respective spouses, regardless of where they reside) or household members of any such person, whether or not related.

How to Participate: Reservation can be made through Resy.com or the Resy App (or a Resy-owned channel), or directly with the Restaurant (“Reservation”). For the avoidance of doubt, private dining room reservations and private events booked at the Restaurant for the Date are not eligible for a Credit (as defined below). Individual who made the Reservation (“Diner”) must also be in the party honoring the Reservation at the Restaurant. Each member of the party for a Reservation, inclusive of the Diner, will be a “Party Member.” Limit one (1) Reservation per Diner per Restaurant per night. Reservations cannot be transferred, bartered, auctioned or otherwise sold to another individual. Any such Reservation will be void. In the event that the Restaurant accepts any reservations by telephone or in-person for the Date (i.e., without using Resy), such reservations will not be included in the milestone calculation of completed reservations, however diners and the rest of their Party eating on the Date at the Restaurant will also receive the Credit, as described below.

Credit: Offer consists of a $99 credit (“Credit”) per Party Member (with a maximum of $594 for the entire party) in attendance for the Dinner Reservation on the Date at the Restaurant. The number of Party Members cannot exceed the number specified as part of the original Reservation. If fewer than the number of Party Members included as part of the Reservation actually attend the Restaurant on the Date, the number of Credits to be provided will be for the actual number of Party Members in attendance on the Date at the Restaurant. For the avoidance of doubt, this is not a statement credit offer. Any redemption restrictions/exclusions will be disclosed to Diner via a text message to the mobile number associated with their resy.com account within 24 hours before such Reservation. In no event will any excess Credit over the bill amount be provided to a Party Member; any such excess will be forfeited. Tax and 20% gratuity will be automatically added to the combined final bill of all Party Members. Diners can choose to leave an additional tip if they wish to do so. Credit will be applied, after the combined final bill, tax and gratuity amount is calculated, as a reduction to the amount due from Party Members. Any amount of the final bill in excess of the combined Credits for the Party Members will be the responsibility of the Diner. Diner may be required by Restaurant to provide a valid form of payment at time of arrival for Reservation to ensure any amount in excess of the Credit will be paid by the Diner. Credit is only valid for the Date. Credit cannot be redeemed for cash. Credit may not be combined with any other offer, coupon or promotion. Credit is provided “as is” with no warranty or guarantee. All federal, state and local taxes, if any and if applicable, associated with acceptance and use of the Credit are the Party Member’s sole responsibility. All Credit details are at Resy’s and Restaurant’s sole discretion.

General: By participating, Diners (and their Party Members) fully and unconditionally agree and accept these terms and Resy’s decisions, which are final and binding in all matters related to the offer. Offer redemption is contingent upon fulfilling all requirements set forth herein. Diners (and their Party Members) agree to release Resy, American Express, Restaurants, and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees (collectively “Released Parties”), from and against any and all liability for any claims, costs, injuries, losses or damages of any kind arising in connection with the offer, including without limitation, participation in the offer (including any travel or activity related thereto). Released Parties are not responsible for any technical, printing, typographical, mechanical, network, human or other error or problem which may occur in the administration of the offer or the processing of Reservations or Credits, or in any offer-related materials. Diners (and their Party Members) agree that in any cause of action, the Released Parties’ liability shall be limited to the cost of participating in the offer and in no event shall the Released Parties be liable for attorneys’ fees or other legal costs. Offer is void where prohibited and subject to all applicable laws, rules, and regulations. Resy may modify or cancel this offer at any time. Must be 21 years or older to consume alcohol, please drink responsibly.
